Chief Executive Officer (CEO)

Reports to:  Board of Directors

Reporting to this position: Academic Director, Sales Staff and Administrative Staff

Job Summary

The CEO serves as chief executive of the CISPS and, in partnership with the Board, is responsible for the success of the CISPS. Together, the Board and the CEO assure the CISPS relevance to the community, the accomplishment of the CISPS mission and vision, and the accountability of the CISPS to its diverse constituents.

The Board delegates responsibility for strategy execution and management of the day-to-day operations to the CEO, and s/he has the authority to carry out these responsibilities, in accordance with the direction and policies established by the Board. The CEO provides direction and enabling to the Board as it carries out its governance functions.

MAJOR RESPONSIBILITIES:

1.         Leadership

The CEO exercises an appropriate level of leadership for the organization, influences the culture and builds a team atmosphere.   The CEO effectively communicates a vision, management philosophy, and business strategy to the Institute's employees.  He actively seeks to motivate and inspire employees to adopt the Institute's values and to realize the Institute's vision.  The CEO is an effective role model for the organization. He ensures that there is clarity of objectives and focus for all employees and that there are clear and appropriate standards and measures of performance.

2.         Risks and Opportunities

The CEO identifies and communicates risks and opportunities to the Board of Directors and deals with them appropriately.  The CEO ensures that the Institute has appropriate auditing and financial control processes in place to protect assets, maintain effective control of operations and provide accurate and complete public disclosure [CC1] of results.  The CEO fosters a culture of ethical behavior for the Institute, promotes compliance with the Institute’s Code of Business Conduct and proactively ensures that the Institute complies with all relevant legal obligations.

3.        Strategy Formulation

The CEO is responsible to develop a long-term, sound strategy for the Institute that is intended to increase the value of the brand as well as meeting the needs of customers, employees, and other corporate stakeholders.  The CEO puts in place processes that encourage effective strategic planning. The Board of directors shall annually approve the Institute’s strategic plan.

4.        Strategic Execution

The CEO ensures that Company strategies are effectively executed with timely progress towards strategic objectives.  The CEO obtains and allocates resources consistent with strategic objectives and makes timely adjustments when market conditions and other forces demand a change.

5.         Board Relations

The CEO keeps the Board fully informed of all important issues and aspects of the Institute’s performance, opportunities and market developments, whether positive or negative.  Sufficient and appropriate information is distributed monthly and quarterly to Board members throughout the year to effectively assess Institute’s issues, strategies, their implementation, and other performance outcome/variances.    Board members can initiate contact with the CEO whenever necessary. In particular the CEO shall:

5.1       attend  all  Board  meetings  called  during  the  year  unless  prevented  by  exceptional circumstances;

5.2       attend the annual general meeting and such other shareholders' meetings as may be necessary;

5.3       act as a member of such committees of the Board and the Board shall decide, attending all meetings unless prevented by exceptional circumstances;

5.4       place on the agenda for meetings of the Board or committees any matters relating to the Company's business which the CEO considers should be discussed including but not limited to the matters stated to be decided by or referred to the Board in the Company’s Corporate Governance Guidelines;

5.5       recommend policy positions to the Board;

5.6       ensure that the decisions of the Board are fully, promptly and properly carried out

6.       Legal Compliance

The CEO ensures the filing of all legal and regulatory documents/submissions and monitors compliance with all relevant laws and regulations.

7.       Management and administration

The CEO is responsible for the day to day management of the Institute and in doing so;

a)   Provides general oversight of all Institute activities, manages the day-to-day operations, and assures a smoothly functioning, efficient organization.

b)   Assures program quality and organizational stability through development and implementation of standards and controls, systems and procedures, and regular evaluation. 

c)   Assures a work environment that recruits, retains and supports quality staff and contract employees. Assures the process for selecting, development, motivating, and evaluating staff and contract employees.

d)   Recommends staffing and financing to the Board of Directors. In accordance with Board action, recruits personnel, negotiates professional contracts, and sees that appropriate salary structures are developed and maintained.

e)   Specifies accountabilities for management personnel (whether paid or volunteer) and evaluates performance regularly.

8.        Financial Performance

The CEO is responsible to carry out a comprehensive budgeting process and monitor the Company’s performance against the budget.  The CEO proposes appropriate annual and long- term financial objectives for the Institute and monitors the attainment of these financial goals as well as maintaining spending in accordance with approved capital expenditure and other budgets. The CEO promotes programs and services that are produced in a cost-effective manner, employing economy while maintaining an acceptable level of quality.

9.     Marketing and Community Relations

The CEO

a)      Ensures community awareness of the Institute.

b)   Facilitates the integration of the Institute into the fabric of the community by using effective marketing and communications activities.

c)      Acts as an advocate, within the public and private sectors, for issues relevant to the Institute and its services.

d)      Listens to clients, students and the community to improve services and generate community involvement.

e)      Serves as chief spokesperson for the Institute, assuring proper representation of the Institute to the community.

f)       Initiates, develops, and maintains cooperative relationships with key constituencies.

g)      Works with legislators, regulatory agencies, and company representatives to promote legislative and regulatory policies that encourage a healthy security industry.

10.       Safety and Environment

The CEO is responsible for the implementation and communication of health, safety and environmental policies and performance.  Furthermore, the CEO ensures the establishment and achievement of health and safety objectives and that the Company complies fully with all applicable health, safety and environmental legislation.
